These Terms and Conditions (“Terms”) govern the use of services provided by ViralXMedia (“Company”, “we”, “our”, “us”). By engaging our services, the client (“Client”, “you”, “your”) agrees to be bound by these Terms.
1. Services
1.1 ViralXMedia shall provide digital marketing services including, but not limited to, social media management, content creation, search engine optimization (SEO), paid advertising, branding, website development, and consulting.
1.2 The exact scope of services will be defined in the proposal, quotation, or agreement shared with the Client prior to commencement.
1.3 Any services requested outside of the agreed scope may be subject to additional fees.
2. Payment Terms
2.1 All fees for services must be paid in accordance with the terms outlined in the proposal, contract, or invoice.
2.2 Unless otherwise agreed in writing, payments are due in advance of services being rendered.
2.3 Payments are non-refundable except where otherwise expressly stated.
2.4 Late payments may result in suspension of services until payment is received.
3. Client Obligations
3.1 The Client agrees to provide all necessary information, approvals, and access required by ViralXMedia to perform the services.
3.2 The Client warrants that all content, materials, and information provided are accurate, lawful, and free of third-party intellectual property claims.
3.3 The Client shall be responsible for the consequences of delays caused by failure to provide timely information or approvals.
4. Intellectual Property
4.1 All strategies, materials, and content developed by ViralXMedia remain the property of the Company until full payment has been received.
4.2 Upon full payment, ownership of final deliverables shall transfer to the Client, unless otherwise agreed in writing.
4.3 ViralXMedia retains the right to display completed work in its portfolio, marketing materials, and case studies.
5. Confidentiality
5.1 Both parties agree to maintain strict confidentiality regarding all proprietary and sensitive business information.
5.2 ViralXMedia shall not disclose Client information to third parties without written consent, unless required by law.
6. Limitation of Liability
6.1 ViralXMedia shall exercise reasonable skill, care, and diligence in delivering services.
6.2 However, the Client acknowledges that specific growth, sales, rankings, or engagement results cannot be guaranteed. ViralXMedia will make best efforts but outcomes depend on third-party factors such as algorithms, market conditions, and audience behavior.
6.3 ViralXMedia shall not be held liable for any indirect, incidental, or consequential damages arising from the use of its services.
7. Termination
7.1 Either party may terminate this Agreement by giving written notice to the other party.
7.2 In the event of termination, the Client shall pay for all services rendered up to the effective date of termination.
7.3 ViralXMedia reserves the right to terminate services immediately in the event of non-payment, breach of contract, or unlawful Client activity.
8. Governing Law and Jurisdiction
8.1 These Terms shall be governed by and construed in accordance with the laws of India.
8.2 Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of India.
9. Amendments
9.1 ViralXMedia reserves the right to amend, modify, or update these Terms at any time without prior notice.
9.2 Continued use of services constitutes acceptance of such amendments.
